These Terms of Use (“Terms”, “Agreement”) form a legally binding agreement between you (“you”, “your”, “user”) and CoinExchangeCanada, a service operated by CryptoLightHouse Ltd., registered under the laws of the Republic of Seychelles (“CoinExchangeCanada”, “Company”, “we”, or “us”)..
These Terms apply to your access and use of our website — https://coinexchangecanada.ca — as well as any applications, tools, services, or related resources made available by us (collectively, the “Services”).

1. General Provisions
1.1. Agreement to Terms
By accessing or using our Website or Application, you confirm that:
- (i) You’ve read and agree to these Terms of Use;
- (ii) You clicked “I Accept” voluntarily to confirm this agreement;
- (iii) You are legally old enough to form a binding contract;
- (iv) You have authority to enter into this Agreement for yourself or on behalf of an organization.
- If any of the above isn’t true, please don’t use our Services. These Terms may be updated occasionally without notice. Continued use after the “Last Updated” date means you accept the changes.
1.2. Key Definitions
To help you better understand this Agreement, the following terms are used throughout these Terms of Use:
- Cryptocurrency / Cryptocurrencies – A cryptographically secured digital representation of value or contractual rights that is based on blockchain or other distributed ledger technology. It can be transferred, stored, or traded electronically and includes any rights or interests associated with such assets.
- Digital Asset – Any unit of value that exists as a data entry on a blockchain or distributed ledger. This includes, but is not limited to, cryptocurrencies, utility tokens, non-fungible tokens (NFTs), and similar blockchain-based units of value.
- Order – A request initiated by you to perform a cryptocurrency exchange or other transaction using our Services.
- Partner Sites – Mobile applications or websites owned and operated by Third Party Providers with whom we collaborate to fulfill your exchange requests.
- Third Party Provider / Partner – External service providers who handle transaction execution, liquidity provision, exchange processing, and other essential components of the Services. These parties have their own terms, policies, and technical infrastructures.
- Party / Parties – Refers individually to either you or CoinExchangeCanada, and collectively to both of us as contracting parties under these Terms.
- Services – All services offered by CoinExchangeCanada through its Website and/or Application, including access to tools, resources, and integrations with Third Party Providers to support digital asset exchanges.
1.3. Important Disclaimers
By using our Services, you acknowledge and agree to the following important disclaimers:
1.3.1. CoinExchangeCanada does not hold custody of your cryptocurrencies, nor does it manage, store, or retrieve private keys, wallet credentials, or other security details. You are solely responsible for maintaining the confidentiality and security of your own digital assets.
1.3.2. All cryptocurrency exchange transactions are facilitated through Third Party Providers. CoinExchangeCanada does not directly handle exchanges or determine exchange rates, pricing data, or order execution timelines.
1.3.3. Access to certain Third Party Providers may be restricted based on your geographic location due to local laws or provider-specific policies. This may apply to residents of specific countries or regions, including certain U.S. states, EU member states, and others.
1.3.4. While we and our Third Party Providers take reasonable precautions to secure our systems and your data, no security measures are foolproof. Unauthorized access, data breaches, or service disruptions may still occur despite these efforts.
1.3.5. CoinExchangeCanada is not responsible for the availability, performance, or service quality of any Third Party Provider. This includes, but is not limited to, price accuracy, transaction success, custody of funds, or any failures or delays caused by these providers.
1.3.6. When you interact with a Third Party Provider, you are also agreeing to abide by their terms of service, privacy policies, and other applicable legal agreements. These may differ from our Terms and must be reviewed and accepted separately.
1.3.7. We do not provide customer support for issues that arise from transactions executed via Third Party Providers. All such transactions are final and cannot be reversed, refunded, or modified by CoinExchangeCanada.
1.3.8. Some partners set specific limits on transaction parameters, such as a maximum allowable deviation from the expected exchange rate (e.g., 5%). Please review these terms on the relevant Partner Site before proceeding with your transaction.
How We Share Your Information
At CoinExchangeCanada, we prioritize the privacy of your personal information. We do not sell or trade your personal data to third parties for commercial reasons. Instead, we share your information solely in the following circumstances:
2. Services Provided
2.1. Third Party Processing
When you use the Services offered by CoinExchangeCanada, your Orders are fulfilled by independent Third Party Providers, not by CoinExchangeCanada directly. We act as a technology platform connecting users with licensed liquidity providers.
2.2. No Financial Advisory Role
CoinExchangeCanada is not a bank, brokerage, or licensed financial institution. We do not provide financial, investment, legal, or tax advice of any kind. Our role is limited to facilitating access to non-custodial cryptocurrency exchange services via third parties.
2.3. No Custody of Funds
At no point during your exchange transaction do we take possession of your funds. You send and receive cryptocurrencies directly through our third-party processing partners.
2.4. Non-Custodial Platform
CoinExchangeCanada provides a non-custodial environment. We do not store user balances, hold deposits, or manage any digital assets on your behalf.
2.5. Availability and Maintenance
Our Website is available 24/7, but we may occasionally suspend access temporarily for essential maintenance, platform upgrades, or security improvements. These interruptions may occur without prior notice or compensation.
2.6. Right to Restrict Access
To maintain the integrity of our platform and ensure a secure experience, we reserve the right to block or restrict access to users who violate these Terms, engage in suspicious activity, or present any risk to the platform.
2.7. User Responsibilities
You are responsible for providing your own internet-enabled device (computer, phone, tablet, etc.) and covering all associated costs, such as internet service fees, data charges, and equipment rental.
2.8. Communication and Email Consent
By using our Services, you agree to receive informational and promotional emails from CoinExchangeCanada. You may unsubscribe or update your preferences at any time via the settings on the Website.
2.9. Force Majeure and Downtime
CoinExchangeCanada is not liable for any losses or disruption of access due to events beyond our control, including but not limited to:
- Scheduled maintenance;
- Network or telecommunications failures;
- Natural disasters (e.g., floods, earthquakes);
- Power outages;
- Acts of war, terrorism, or civil unrest;
- Cyberattacks, software bugs, or third-party service outages;
- Changes in government regulation or legal restrictions.
2.10. Fraud Prevention
CoinExchangeCanada will never request your private keys, passwords, or ask you to transfer funds to addresses not explicitly listed on our platform. Any such requests should be treated as fraudulent. We are not responsible for losses resulting from transactions made to unverified or unauthorized addresses.
2.11. User-Generated Content
You are solely responsible for any content you submit, upload, or share through our Services. This includes ensuring the accuracy, legality, and appropriateness of such content. We reserve the right to remove any content that violates these Terms. Personal data provided to us will be handled in accordance with our Privacy Policy.
3. Eligibility
3.1. User Requirements
To be eligible to use the Services offered by CoinExchangeCanada, you confirm and warrant that you:
- 3.1.1. Are at least 18 years of age and have the legal capacity to enter into binding agreements under applicable law;
- 3.1.2. Are not located in, a resident of, or otherwise subject to the jurisdiction of any country or territory listed as prohibited (see Section 8);
- 3.1.3. Have not been previously suspended, restricted, or removed from using CoinExchangeCanada or its Services;
- 3.1.4. Will not use the platform to engage in or support any unlawful, fraudulent, or malicious activities;
- 3.1.5. Will comply with these Terms and all applicable local, national, and international laws;
- 3.1.6. Will use the Website and Services solely for personal, non-commercial purposes and not on behalf of any third party;
- 3.1.7. Understand and agree that CoinExchangeCanada does not act as your broker, advisor, fiduciary, or agent, and no communication from us should be construed as financial or investment advice;
- 3.1.8. Will not misrepresent yourself to other users or Third Party Providers when using the Website or Services;
- 3.1.9. Will refrain from any actions intended to harm, disrupt, or negatively affect CoinExchangeCanada or its partners;
- 3.1.10. Will not attempt to reverse engineer, decompile, or disassemble any part of our Website or Services;
- 3.1.11. Will not frame, mirror, or use any CoinExchangeCanada trademarks or logos without express permission;
- 3.1.12. Will not use the Website or Services to build or promote any competing platform or service;
- 3.1.13. Will not copy, publish, distribute, or transmit any content from CoinExchangeCanada unless explicitly authorized in these Terms;
- 3.1.14. Will not remove or alter any copyright notices or proprietary markings within the Services or content provided by CoinExchangeCanada or its partners;
- 3.1.15. Consent to receive communications from CoinExchangeCanada electronically, including legal notices, agreements, and updates relevant to your use of the Services;
- 3.1.16. Understand and accept that temporary delays or interruptions in the Services may occur;
- 3.1.17. Will not use VPNs, proxy servers, or other tools designed to mask your IP address or location while accessing the Website.
4. Termination
4.1. Right to Suspend or Terminate
CoinExchangeCanada reserves the right to take immediate action, including refusing to complete a transaction, blocking or cancelling an order, or suspending, restricting, or terminating your access to some or all of our Services at any time and for any reason, including but not limited to the following circumstances:
- 4.1.1. We reasonably believe that such action is necessary to protect our reputation or the integrity of the platform;
- 4.1.2. We are required to do so by applicable law, regulation, court order, or authority in any relevant jurisdiction;
- 4.1.3. We reasonably suspect that you are violating or have violated these Terms.
4.2. No Liability for Termination
CoinExchangeCanada shall not be held liable for any losses, damages, or inconvenience you may experience as a result of suspension or termination of access to the Services.
4.3. Effect of Termination
Once your access is terminated, your rights to use the Website, Application, and Services will immediately end. We are not obligated to provide any continuation of service or support post-termination. Provisions of these Terms that are intended to survive termination—including Sections 4.3, 5, 6, 7, 10, 11, 12, 13, 14, 15, and 16—will remain in effect after your access is revoked.
5. Indemnification
5.1. Your Obligation to Indemnify
You agree to defend, indemnify, and hold harmless CoinExchangeCanada and its affiliates, partners, officers, and employees from and against any and all losses, costs, liabilities, and expenses (including reasonable legal fees) resulting from or arising out of:
- 5.1.1. Your use or inability to use the Website, Application, or Services;
- 5.1.2. Your breach of these Terms or any applicable law or regulation;
- 5.1.3. Your violation of the rights of any third party, including other users or service providers;
- 5.1.4. Any content you submit, post, transmit, or otherwise make available through our Services.
CoinExchangeCanada reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to fully cooperate with us in the defense and settlement of the matter.
6. Warranties and Disclaimers
6.1. No Guarantees
The Website, Application, and Services, along with all related content and features, are provided strictly on an “AS IS” and “AS AVAILABLE” basis. CoinExchangeCanada makes no representations or warranties of any kind—express, implied, or statutory—regarding the Website or Services. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or availability. You acknowledge that you use the Website and Services entirely at your own risk, to the fullest extent permitted by applicable law.
6.2. Third-Party Risk
CoinExchangeCanada is not responsible for the actions, omissions, or content of any third party accessed through the Website, including Third Party Providers. We do not endorse, guarantee, or monitor third-party platforms or services, and any interaction you have with such parties is entirely at your own risk.
7. Liability
7.1. Limitation of Liability
Under no circumstances shall CoinExchangeCanada be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to lost profits, loss of revenue, data loss, service interruption, or the cost of substitute services—arising from or related to your use of the Website, Application, or Services. This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.
8. Prohibited Jurisdictions
8.1. Restricted Regions
By using CoinExchangeCanada, you confirm that you are not located in, or a citizen or resident of, any country or territory subject to international sanctions. This includes, but is not limited to: the United States, United Kingdom, Afghanistan, Guinea-Bissau, Democratic Republic of Congo, Iraq, Yemen, North Korea, Lebanon, Libya, Mali, Somalia, South Sudan, Sudan, Central African Republic, Eritrea, Iran, Syria, or any country listed on the United Nations Security Council Sanctions List or equivalent regulatory list.
8.2. Service Availability
CoinExchangeCanada reserves the right to determine the geographic markets and jurisdictions in which its Services are made available. We may restrict or deny access to users in specific countries or regions at our sole discretion.
8.3. Legal Compliance
Use of the Website is prohibited where such use violates local laws. You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations.
8.4. IP Monitoring
We reserve the right to monitor IP addresses for compliance with these Terms. If your IP address indicates that you are located in a prohibited jurisdiction, we may deny you access to the Website, Application, and Services without notice.
9. Term
This Agreement takes effect as outlined in the Introduction and remains in force until you completely cease using the Website and Services, or until CoinExchangeCanada terminates your access in accordance with Section 4 of these Terms.
If you discontinue all use of the Website and Services and no longer access them, these Terms will no longer apply to you, except as stated in Section 4.3.
This Agreement may also be terminated by CoinExchangeCanada as described in Section 4.
10. Modifications
CoinExchangeCanada continuously evolves and improves its Website and Services to offer users a better experience.
We reserve the right to add or remove features, update functionalities, or introduce new limitations to the use of the Website, Application, or Services at any time and without prior notice.
11. Governing Law and Arbitration
This Agreement is governed by and interpreted under the laws of the Republic of Seychelles. All matters relating to the validity, construction, performance, and enforcement of these Terms shall be subject to Seychelles law.
This provision also applies to any tort claims made against CoinExchangeCanada. Any legal proceedings or disputes arising from or related to this Agreement shall be exclusively brought before the courts of the Republic of Seychelles. You unconditionally agree to the exclusive jurisdiction and venue of such courts for all related claims and appeals.
If any specific service or business function of the Website has a separate jurisdiction agreement, that agreement shall take precedence. The legal doctrine of Forum Non Conveniens does not apply to disputes under this Agreement.
12. Copyright Protection
Your use of the Website and/or Application does not confer ownership of any intellectual property, including the content, design, software, or data you access.
All materials available through CoinExchangeCanada are protected under applicable copyright, trademark, and intellectual property laws and treaties.
Using brand-related terms such as “CoinExchangeCanada,” “coinexchangecanada.ca,” or similar variations in paid search engine advertisements—especially to attract affiliates—is strictly prohibited. Violating this rule may result in removal from the affiliate program.
13. Assignment
CoinExchangeCanada may assign or transfer its rights and obligations under this Agreement to any third party without requiring your additional consent.
You may assign your rights or obligations under these Terms to a third party only with prior written approval from CoinExchangeCanada.
14. Force Majeure
CoinExchangeCanada shall not be held responsible for any delays or failure to perform its obligations due to events beyond its reasonable control. These may include natural disasters, war, terrorism, civil unrest, government actions, labor shortages, power outages, supply chain disruptions, or other similar unforeseen circumstances.
15. Entire Agreement
These Terms represent the complete and exclusive agreement between you and CoinExchangeCanada regarding the use of the Services. They override any prior understandings, representations, or agreements, whether oral or written. No third party shall have any rights under this Agreement unless explicitly stated herein.
16. Severance and Validity
If any provision of this Agreement is determined to be illegal, invalid, or unenforceable under applicable law, it shall be considered severed from the Terms. The remainder of the Agreement shall continue to be valid, and where possible, the invalid provision will be replaced with one that reflects the original intent as closely as legally possible.
17. Third-Party Website Access
If you access CoinExchangeCanada through a link provided by a third-party website, you acknowledge and agree that from the moment you land on our Website, you are subject to these Terms of Use and our Privacy Policy.
